General Terms and Conditions

Terms of Sale and Delivery

Deliveries are made exclusively on the basis of the following provisions. Side agreements must be in writing. The buyer’s purchasing conditions are irrelevant, even if they are not explicitly objected to.

1. Prices

Unless otherwise noted, our prices are exclusive of transport, fees, customs duties, VAT, etc., which may be additionally charged at any time in the event of subsequent costs.
The offered prices can only be maintained if the qualities and quantities specified in the offer are ordered unchanged.
Unless otherwise noted in the offer, it is valid for a period of 6 weeks. After this period, we reserve the right to recalculate the prices and adjust them in case of an order. The minimum order value for custom products, excluding packaging and VAT, is CHF 300.- or EUR 300.-, for standard strip brushes the minimum order value is CHF 150.- or EUR 150.-.

2. Shipping, Freight Costs, and Packaging

Delivery is made ex works. Complaints related to transport must be addressed by the buyer immediately upon receipt of the delivery or freight documents to the last carrier.
Disposable packaging (wood, cardboard, etc.) is charged and not returned. The costs charged for reusable packaging (wooden boxes, metal trays, etc.) will be credited at full value less a 10% amortization cost share, provided they are returned in perfect condition within 2 months, carriage paid, to Oberentfelden.

3. Benefit and Risk

Benefit and risk are transferred to the buyer when the goods leave the works. Shipping is at the buyer’s cost and risk.

4. Specially Manufactured Products

For technical production reasons, we reserve the right to deliver up to +/- 10% of the ordered quantity for custom-made products.
For orders based on list or offer prices, the buyer expressly acknowledges the prices according to the result.

5. Scope of Delivery Obligation

The delivery period is provided without obligation. We will do our best to comply with it. In cases of force majeure or other circumstances beyond our control, we disclaim any claims for compensation for deliveries that are not made or are delayed.

6. Payment Terms

Invoices are payable within 30 days, net. After this period, we are entitled to put the buyer in default by setting an appropriate payment deadline, and after the new deadline expires, to charge CHF 20.- (EUR 15.-) for reminder fees. Art. 107 of the Swiss Code of Obligations remains reserved.

7. Warranty

We assume liability for material and manufacturing defects in our products. Defective products will be replaced or repaired.
We reject claims for damages, cancellation of the purchase, or reduction of the purchase price.
Complaints must be made immediately after receipt of the goods, but no later than within 8 days. In the case of hidden defects, complaints must be made immediately upon discovery.
No liability can be derived from the know-how provided to us free of charge. The correct application of the brush elements delivered by us is the buyer’s responsibility.
Due to the various application possibilities beyond our control, we cannot guarantee the lifespan of our products.

8. Copyright, Patent, and Trademark Rights

Trademarks, drawings, and projects remain our property. It is not permitted to reproduce, use, or pass them on to third parties without our explicit permission.

9. Jurisdiction

For all disputes arising from the contractual relationship between the parties, the place of jurisdiction is Aarau. The legal relationship is governed by substantive Swiss law.
